These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and SMK Media LLC, doing business as SMK Brands ("SMK Brands," "we," "us," or "our"), governing your access to and use of our website at smkbrands.com and any related services, content, tools, or communications we provide (collectively, the "Services").
By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

SMK Brands is a trade name (DBA) of SMK Media LLC. We build, acquire, and operate growth infrastructure for service-based businesses, including brand development, customer acquisition, digital authority, and internal operating systems. We also acquire and operate consumer brands across healthcare, staffing, ecommerce, and direct-to-consumer verticals.
References in these Terms to "SMK Brands," "SMK Media LLC," or "we" refer to SMK Media LLC and its applicable subsidiaries and affiliated entities.
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Services in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use.
Access or attempt to access non-public areas of the Services, systems, or networks without authorization.
Introduce viruses, malware, or other malicious code, or use scrapers, spiders, robots, or automated tools to extract data from the Services without our written consent.
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services for commercial purposes without our express written permission.
Use the Services to transmit any unlawful, harassing, defamatory, infringing, fraudulent, or otherwise objectionable content.
Misrepresent your identity, affiliation with another person or entity, or the origin of any content you submit.
Reverse engineer, decompile, or disassemble any portion of the Services, except as expressly permitted by applicable law.
We may suspend or terminate access for any violation of these Terms, in our sole discretion, without notice.
All content, branding, features, and functionality of the Services — including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, software, and the "look and feel" of the Site — are the exclusive property of SMK Media LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
"SMK Brands," the SMK Brands logo, and related marks are trademarks of SMK Media LLC. You may not use any SMK Brands branding without our prior written consent.
You may not modify, reproduce, distribute, display, or create derivative works from any portion of the Services without express authorization from us.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes, subject to these Terms.
When you submit information, inquiries, applications, or other content through the Services (such as contact forms, partnership applications, or messages), you represent and warrant that:
You own or have the right to submit such content and that it does not infringe the rights of any third party.
The content is accurate, complete, and not misleading.
The content does not violate any law, regulation, or the rights of any person or entity.
By submitting content, you grant SMK Media LLC a non-exclusive, royalty-free, worldwide, perpetual, and transferable license to use, reproduce, store, and process that content for the purpose of responding to your inquiry, evaluating any opportunity, and operating our business.
The Services may allow you to submit applications or inquiries regarding partnerships, acquisitions, or other business opportunities. Submission of any application or inquiry does not create any obligation, commitment, or agreement on the part of SMK Brands.
We evaluate each opportunity on its own merits and reserve the right to decline, accept, or terminate any discussion, application, or engagement in our sole discretion. No engagement, partnership, or transaction is formed except pursuant to a written agreement signed by an authorized representative of SMK Media LLC.
You acknowledge that we may evaluate multiple opportunities simultaneously, including those that may be competitive with your business or submission, and we have no obligation to disclose such activities.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SMK BRANDS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION OR RESULTS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE.
ANY CONTENT, ADVICE, OR MATERIALS PRESENTED ON THE SITE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, FINANCIAL, INVESTMENT, OR BUSINESS ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE MAKING DECISIONS BASED ON INFORMATION OBTAINED THROUGH THE SERVICES.
SMK BRANDS DOES NOT ENDORSE AND IS NOT RESPONSIBLE FOR THE CONDUCT, CONTENT, OR PRACTICES OF ANY THIRD-PARTY WEBSITES, SERVICES, OR ENTITIES LINKED FROM THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMK MEDIA LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SMK MEDIA LLC FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO SMK BRANDS FOR ACCESS TO THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless SMK Media LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
Your use of, or conduct in connection with, the Services;
Your violation of these Terms or any applicable law;
Your infringement of any third-party intellectual property or other right; or
Any content or information you submit through the Services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
The Services may contain links to third-party websites, services, or content that we do not own or control. We assume no responsibility for the content, accuracy, privacy practices, or policies of any third-party site. You access third-party content at your own risk and subject to their terms and policies.

These Terms and any dispute arising out of or relating to them or to the Services shall be governed by and construed in accordance with the laws of the United States and the State in which SMK Media LLC is organized, without regard to conflict-of-law principles.
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@smkbrands.com. If the dispute is not resolved within thirty (30) days, either party may pursue binding dispute resolution.
YOU AND SMK BRANDS AGREE THAT ANY CLAIM OR DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION, EXCEPT THAT EITHER PARTY MAY BRING A CLAIM IN SMALL CLAIMS COURT IF IT QUALIFIES. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING.
We may revise these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Your continued use of the Services after any change constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
If any change is material, we will provide notice through the Services or by other reasonable means as required by law.
If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SMK Media LLC relating to the Services and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
